EmpoweringHumanityAcademy.com Instructor Course Agreement
This agreement identifies what each party is providing, and the service each will be accountable for delivering during the working relationship between the instructor and EmpoeringHumanityTV.com (AK Experts Productions, LLC).
AK Experts Productions, LLC (also referred to as “we” or “us”) will provide the instructors an online and, where applicable, offline platform for instructors to present your course on the EmpoweringHumanityAcademy.com “EmpoweringHumanityTV.com Through Education” program
Definitions - Throughout this agreement, we may substitute the words “course,” “class,” and “product” interchangeably. They are all referring to the course you submitted to be uploaded to our platform.
Consideration – AK Experts will feature the instructor’s course to be hosted and showcased to our audience, allowing the instructor to gain increased visibility and potentially new clients by being visible to possible buyers. In exchange for the marketing value AK Experts is providing, instructors will pay a one-time setup fee of $347, $147 for a limited time, to host ONE product/course/class containing up to 20 lessons/videos (if there are more than 20 lessons/videos, additional charges may apply, not exceeding $147).
Instructor Rights and Ownership
The instructor will keep the full ownership rights for their course, course books, e-books, or any of their materials. AK Experts will be able to use the instructor’s materials as we deem appropriate to market the instructor’s course, drive traffic, and generate sales. AK Experts Productions, LLC will have no ownership of the instructor's content, materials, courses, or books. The instructor shall retain ownership of any proprietary information, content, or curriculum developed independently by you, and AK Experts shall only receive a limited license to use such proprietary information for the purposes of this agreement.
This agreement does not constitute any sort of non-exclusivity. You, the instructor, will continue to be able to market, promote, and feature your course wherever you like.
Instructors give us the right to have the course bio, pictures, and other promotional materials to market their course on EmpoweringHumanityTV.com and any social media platforms and websites.
The instructor gives full permission to use clips from any of their materials to create a promotional video with other instructors without any notice to the instructor.
In the event of termination or maturity of this Agreement, AK Experts Productions, LLC will no longer use all course content and curriculum owned by the instructor.
If other instructors or people are featured in your course, or if anyone else has ownership rights in the course or course materials, you must let us know and provide us with their contact information before we can upload your course. Any and all liability for accurate ownership information regarding your course is your responsibility, and AK Experts Productions, LLC will not be held liable or responsible for any omissions or damages that occur.
Right-to-end working relationship – The instructor will have the right to request AK Experts Productions, LLC to end their package and take off their product from further promotion, marketing, or website presentation at any time. We reserve the right to stop running the instructor course at any time without notice.
If AK Experts Productions, LLC determines that your content, brand, course, social media, or marketing message no longer aligns with the Empowering Humanity brand guidelines, the agreement will be canceled, and all of your courses will be taken off our website. As a courtesy, we intend to notify you if this happens, but we are not required to do so.
Either party may terminate this Agreement for cause upon thirty (30) days written notice to the other party. In the event notice of termination is provided by either party to the other party for a breach of this Agreement, the party receiving the notice shall have thirty (30) days to cure such breach of this Agreement. Either party may terminate this Agreement for any reason upon ninety (90) days’ written notice.
Expectations of Working Together
Deliverables—The instructor will be responsible for providing AK Experts with the required materials and deliverables for the successful marketing, promotion, and delivery of the course to potential customers. Instructors will have their own page to display their bio, pictures, testimonials, and promotional materials related to the course.
Promotion – AK Experts Productions, LLC reserves the right to use the instructor’s images, video bio, voice, name, or likeness, course curriculum, intellectual property, and anything else that was given to us from the instructor through our website submission form or via email so that we may promote instructors on any social media related or involved with AK Experts Productions, LLC, Aimmee Kodachian, or EmpoweringHumanityTV.com.
When you provide us with your course to upload on our website, we make no promises or guarantees about the specific times, places, amounts, or durations of promotion and marketing you will receive. We also make no promises that your course will sell or the number of courses you will sell by being an instructor on our platform.
Appropriate Content – Because of our commitment to maintaining the value of our brand, the instructor’s video, audio, and PDFs must be high enough quality to be presented on EmpoweringHumanityTV.com. AK Experts Productions LLC reserves the right not to upload the course if the quality doesn’t meet our standards. Instructor’s course and teachings should not be about religion or politics or any offensive language, sexual or against a group of people. Instructors don’t give theoretical advice; they are expected to teach what they know.We Reserve the Right to Change the Price of Your Course to Incentivize More Sales without Notice—During maintaining and marketing your course on our platform, AK Experts Productions, LLC reserves the right to modify the prices of your course/classes/product to generate more sales. The instructor is encouraged to provide a FREE video to promote their course.
Customer Satisfaction and Refunds – The instructor is responsible for satisfactorily delivering their product/service and for communication and resolution with an unsatisfied customer. When a customer agrees to buy the product, he or she will understand that AK Experts Productions LLC is accountable for the transaction but not responsible for customer satisfaction. If the customer wants to sue the instructor, they will need to contact the instructor directly. The instructor is responsible for responding to the customers and doing their best to give them 100% good customer service. In the event of a refund requested by a customer, it will be granted on a case-by-case basis, with or without notice to the instructor, and any refunds will be taken from any held commissions awaiting payout or it will be subtracted from future sales commissions.
Term and Termination – This Agreement shall be in full force and effect beginning on the date hereof and shall remain in effect until three (3) years after the date hereof or until terminated.
Notices & Communication with AK Experts – All notices under this Agreement shall be in writing via email and shall be effective upon delivery to a party. AK Experts Productions LLC official email is AK@EmpoweringHumanityTV.com. Instructors official designated email will be supplied with the binding signature of this agreement. You agree to respond to all communications and questions in a timely manner.
Non-Exclusivity: The instructor can use other marketing and promotion services and post your content elsewhere. AK Experts Productions has full permission to work with, market, promote, and sell the products, courses, and services of other instructors and service providers in your industry and niche who may be your friends or competitors.
Dispute Resolution – In the event of any dispute or disagreement between the parties arising under or relating to this Agreement, the parties agree to make diligent and reasonable attempts to resolve, through negotiation, all such disputes or disagreements. The parties shall specifically discuss the use of arbitration by a Las Vegas Arbitrator prior to resorting to a court of competent jurisdiction for adjudication. Prior to initiating any legal proceedings, the complaining Party shall provide ten (10) days written notice to the other Party. Neither party shall be entitled to recover costs or attorney fees. Notwithstanding a disagreement or dispute, the parties agree to proceed diligently with the performance of this Agreement.
Agreement to Indemnify – Except for the negligence or willful misconduct of the other party, its agents, or employees, each party (the “Indemnitor”) shall fully protect, indemnify, save harmless, and defend the other. Their respective directors, offices, agents, and employees from and against any and all claims, actions, damages, liability, injury, liens, taxes, penalties, interest, or causes of action of every nature in connection with the loss of life and/or personal or bodily injury or property damage arising out of or incidental to or in connection with the performance of its services under this Agreement occasioned wholly or in part by any negligent act or omission by the Indemnitor.
Assignment—Upon written notice, AK Experts Productions LLC may assign and/or substitute any responsibility, right, or benefit under this Agreement in whole or in part. Retroactive notice may be given. The instructor is not able to do the same.
Limitation of Liability—Neither party hereto shall under any circumstances be liable to the other for any special, indirect, incidental, or consequential damages, including, without limitation, loss of profits or revenues arising out of this Agreement, even if the other party is informed in advance of the possibility or likelihood of such damages.
Relationship – Each Party is an independent contractor, and this Agreement shall not be construed as creating a partnership, joint venture, agency, or employment relationship between the parties or as creating any other form of legal association that would impose liability on one
Party for the act or failure to act of the other Party. Neither of the parties (including its affiliates, agents, representatives, employees, or others acting on its behalf) is a representative of the other for any purpose. No such Party has any power or authority to represent, act for, bind, or otherwise create or assume any obligation on behalf of the other Party for any purpose whatsoever.
Headings – All headings in this Agreement are inserted only for convenience and ease of reference and are not to be considered in the construction or interpretation of any provision of this Agreement.
Choice of Laws – This Agreement shall be governed by the laws of the State of Nevada, and any question arising hereunder shall be construed or determined according to such laws.
I confirm that I have the right to enter into this Agreement, that any commitments to third parties do not restrict me, and that AK Experts Productions, LLC does not have any other financial commitments or obligations to me as a result. I expressly release and indemnify AK Experts and its officers, employees, agents, and designees from any and all claims known and unknown arising out of or in any way connected with the above-granted uses and representations. The rights granted to AK Experts Productions, LLC herein are perpetual and worldwide.
I have read the foregoing and understand its terms and stipulations and agree to all of them.
